If the Company has registered offfice in MP and operational activities are most from Mumbai and company has kept its registered office in state other than MP and Mumbai. is it permissable? or is ather any way out by which it could be done?

MY OPINION:

 

Section 163 of Companies Act prescribes that the statutory books must be kept 1) at the registered office of the Company (2) at any other place in the city near to the registered office of the company in the same state by passing special resolution in the general meeting

 

However in our case the company has kept the books in the totally different state beyond the boundaries of MP so company cannot keep such records at the place they have been kept.

the provisions of section have been violated. 

 

It is advisable that the co should keep the books in MP itself or place within MP by passing special resolution since the company has operational activities in Mumbai but keeping books there is not within the purview of section.
